PhoneFlow User Terms

Summary (not a substitute for the terms below):
- You use PhoneFlow for the organization that gave you a login, under that organization's agreement with us, not for yourself.
- Your login is yours alone. Don't share it, and keep your password private.
- Your organization controls the account and its data. Its admins can see your activity, and the call recordings and transcripts in the account.
- PhoneFlow is not an emergency service. Always keep another way to reach 911.
- As to you personally, PhoneFlow is provided as is. Our liability to you, and yours to us, is generally limited to $100.
- Disputes follow the dispute terms of the PhoneFlow Master Customer Agreement: individual arbitration, with no class actions and no jury. You can opt out of arbitration within 30 days of accepting.
IMPORTANT: THESE USER TERMS CONTAIN A BINDING ARBITRATION AGREEMENT, A CLASS ACTION WAIVER AND A JURY TRIAL WAIVER (SECTION 9, WHICH MAKES SECTIONS 20 AND 21 OF THE MASTER CUSTOMER AGREEMENT PART OF THESE USER TERMS), A DISCLAIMER OF WARRANTIES (SECTION 7) AND LIMITATIONS OF LIABILITY (SECTION 8). PLEASE READ THEM.
1. Who these terms are between #
1.1 The parties #
These User Terms are an agreement between you, as an individual, and Electric Software LLC, a Michigan limited liability company, doing business as PhoneFlow ("PhoneFlow", "we", "us").
1.2 How you accept #
You accept by checking the box and selecting "Agree and continue" when you sign in. Checking the box is your electronic signature. If you do not agree, select "Decline and sign out". You will be signed out and cannot use the Services.
Accept only for yourself. No one else, including a coworker, an admin or anyone at PhoneFlow, may accept for you.
1.3 Your organization's agreement #
You have access because an organization (the "Customer") accepted the PhoneFlow Master Customer Agreement (https://myphoneflow.com/legal/customer-agreement/) and the documents it includes (together, the "Agreement"). Capitalized terms not defined here have the meanings given in the Agreement.
These User Terms govern you and PhoneFlow. The Agreement governs the Customer and PhoneFlow. These User Terms do not change the Agreement and do not make you personally responsible for the Customer's fees. If you also accept the Agreement for the Customer, you do that on the Customer's behalf, and these User Terms still apply to you personally.
2. Using the Services #
You may use the Services only for the Customer's business and within the access the Customer gives you, not for personal, family or household purposes. Your access ends when the Customer removes it, when you leave the Customer, when the Customer's Agreement ends, or if we suspend or end it under Section 6.
3. Your login #
- One person per login. Do not share your login, let anyone else use it, or use anyone else's.
- Keep your password private. Do not give it to anyone, including anyone who says they are from PhoneFlow. If our team created your login with a temporary password, you will be asked to choose your own before you continue.
- Report problems. If you think someone else has used your login, change your password and tell your admin and us at [email protected] right away.
- Stay accurate. Keep your name and email address current. We use them to identify who accepted these User Terms.
4. Acceptable use #
You must follow the PhoneFlow Acceptable Use Policy (https://myphoneflow.com/legal/aup/), which is part of these User Terms. In particular, you must not:
- set up or instruct an AI agent to claim or imply that it is a person, or deny being an AI when asked, or hide, skip or remove the recording notice or other notices the Services play or display;
- enter or collect Prohibited Data, such as health information, full card numbers, Social Security numbers, bank account numbers or voiceprints;
- place calls or send texts without the consent the law requires;
- try to reach data or accounts you are not authorized to reach, including another organization's data; or
- probe, copy, reverse-engineer, overload or interfere with the Services.
5. The Customer's account, your data and privacy #
5.1 The Customer controls the account #
The account and its data belong to the Customer, including the calls, recordings, transcripts, messages and notes you create or handle. The Customer's admins can see your activity in the account: the calls you take or make, their recordings and transcripts, and the changes you make. They can change or remove your access at any time. If the Customer has turned on call recording, calls you handle through PhoneFlow may be recorded and transcribed, including your own voice.
5.2 What we record about you #
We keep records of sign-ins and account changes to run and secure the Services. When you accept these User Terms, we record the version, the date and time, your IP address and your browser details, as proof of your acceptance.
5.3 Privacy Notice #
Please read the PhoneFlow Privacy Notice (https://myphoneflow.com/legal/privacy/), which explains what personal information we handle about you and why. By accepting, you confirm you have received it. For information in the Customer's account, we act for the Customer, so requests to see, correct or delete it usually go to the Customer. Otherwise, contact [email protected].
6. Suspension #
We may suspend or end your access without notice if we reasonably believe you have broken these User Terms or the Acceptable Use Policy, your login has been compromised, or your use puts the Services, callers, the Customer or others at risk. Where we can, we will tell the Customer.
7. Emergencies, AI output and warranties #
7.1 No 911 #
THE SERVICES ARE NOT AN EMERGENCY SERVICE. YOU CANNOT USE PHONEFLOW TO CALL 911 OR ANY OTHER EMERGENCY NUMBER, AND THE AI ASSISTANT CANNOT SEND HELP. ALWAYS KEEP ANOTHER WAY TO REACH EMERGENCY SERVICES.
THE PHONEFLOW SOFTPHONE, ANY SIP PHONE OR DEVICE CONNECTED TO THE SERVICES, AND THE PHONEFLOW MOBILE APP CANNOT CALL 911 OR ANY OTHER EMERGENCY NUMBER. DO NOT USE THEM FOR EMERGENCIES.
7.2 Check AI output #
AI Features can mishear callers, misunderstand requests, and produce summaries, transcripts or answers that are wrong or incomplete. Check anything important before you rely on it.
7.3 Disclaimer #
AS BETWEEN YOU AND PHONEFLOW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, PHONEFLOW GIVES YOU PERSONALLY NO WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, AND DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. PHONEFLOW DOES NOT PROMISE YOU THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT ANY CALL OR MESSAGE WILL BE ANSWERED OR DELIVERED. ANY WARRANTY IN THE AGREEMENT IS GIVEN TO THE CUSTOMER ONLY.
8. Limitation of liability #
TO THE FULLEST EXTENT THE LAW ALLOWS:
- NEITHER YOU NOR PHONEFLOW WILL BE LIABLE TO THE OTHER FOR LOST PROFITS, LOST BUSINESS, LOST DATA, MISSED CALLS, OR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, EVEN IF WARNED THEY COULD OCCUR.
- PHONEFLOW'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THESE USER TERMS OR YOUR USE OF THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
- YOUR TOTAL LIABILITY TO PHONEFLOW FOR ALL CLAIMS RELATING TO THESE USER TERMS OR YOUR USE OF THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
- THE LIMITS ON YOUR LIABILITY IN THIS SECTION 8 DO NOT APPLY TO YOUR FRAUD, WILLFUL MISCONDUCT OR INTENTIONAL UNAUTHORIZED ACCESS, AND THEY DO NOT LIMIT THE CUSTOMER'S LIABILITY UNDER THE AGREEMENT.
THESE LIMITS APPLY UNDER ANY LEGAL THEORY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THEY DO NOT LIMIT LIABILITY THAT THE LAW DOES NOT ALLOW TO BE LIMITED.
9. Disputes #
9.1 The Master Customer Agreement's dispute terms apply #
Section 20 (Dispute Resolution) and Section 21 (Governing Law and Courts) of the PhoneFlow Master Customer Agreement (https://myphoneflow.com/legal/customer-agreement/) are part of these User Terms and apply to any dispute between you and PhoneFlow relating to these User Terms or your use of the Services. In those Sections, "Customer" means you, "the Agreement" means these User Terms, a reference to Section 18 means Section 8 of these User Terms, and your Notice Email is the email address of your login. Those Sections apply as they read when you accept these User Terms. A later change to them applies to you only as Section 10 allows.
9.2 Arbitration notice #
THOSE SECTIONS REQUIRE BINDING INDIVIDUAL ARBITRATION OF MOST DISPUTES, WAIVE CLASS ACTIONS AND JURY TRIALS, AND LET YOU OPT OUT OF ARBITRATION BY EMAILING [email protected] WITHIN 30 DAYS AFTER YOU FIRST ACCEPT THESE USER TERMS.
10. Changes to these User Terms #
We may update these User Terms. Changes apply only going forward. Every version stays available at its own address (for example https://myphoneflow.com/legal/user-terms/v1.0/), the current version is always at https://myphoneflow.com/legal/user-terms/, and changes are listed at https://myphoneflow.com/legal/changes/.
- Small fixes (typos, contact details, clearer wording) are posted with a change-log note.
- Other non-material changes are posted with at least 30 days' notice in the app. If you keep using the Services after the effective date, the new version applies.
- Material changes are shown to you at sign-in, and you must accept them before you can continue. If you decline, you will be signed out.
- A change to Section 9, or to Section 20 or 21 of the Master Customer Agreement as they apply to you, applies to you only if you expressly accept it. It never applies to a dispute that is pending, or of which either of us has given notice, when the change takes effect.
11. General #
- Feedback. If you send us ideas or feedback, we may use them without any obligation to you.
- Our property. PhoneFlow and its licensors own the Services and all related intellectual property. You get no rights in them beyond using the Services as described here.
- Notices. We may send you notices about the Services, your login and these User Terms by email or in the app. Notices to us go to [email protected] or Electric Software LLC, 120 N Washington Square, Suite 300, Lansing, MI 48933.
- Assignment. We may assign these User Terms to an affiliate or successor, including in a merger or sale of the business. You may not assign them.
- The rest. If part of these User Terms is held unenforceable, the rest stays in effect. Not enforcing a term is not a waiver. These User Terms, with the Acceptable Use Policy and the Sections of the Master Customer Agreement that Section 9 makes part of them, are the whole agreement between you and PhoneFlow about your personal use of the Services. Sections 5, 7, 8, 9 and 11 survive after your access ends.
